Acceptance of Terms
Welcome to ChemAbout. ChemAbout is currently in preview, and the operating entity will be announced before any commercial launch. ChemAbout is provided exclusively to enterprises, business users, and their authorized representatives for legitimate commercial purposes, and is not intended for individual consumers. By accessing or using our services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, please do not use our services.
Service Description
ChemAbout is a chemical supply-demand matching platform that provides enterprise users with product information publishing, purchase request posting, and supply-demand matching services. ChemAbout acts solely as an information intermediary and does not participate in, facilitate, or guarantee any transaction between users. We are committed to helping chemical companies discover business opportunities more efficiently, while users retain full responsibility for evaluating and conducting any commercial transactions.
Platform Role and Limitations
ChemAbout solely provides display, search, and matching services for company profiles and product information. The platform does not hold goods, participate in transactions, process payments, or act as broker, agent, or guarantor, and assumes no responsibility for any outcome arising from contact or dealings between users. All commercial arrangements are negotiated, contracted, and performed by users directly.
Account Registration and Use
Using our services requires signing up for an account. You agree to:
- Provide true, accurate, and complete registration information
- Keep your account password secure and be responsible for all activities under your account
- Not transfer or authorize others to use your account
- Notify us immediately if you discover unauthorized use
User representations and warranties
You represent and warrant that all account, company, product, purchase request, contact, certification, market coverage, and other information you submit is true, accurate, complete, current, lawful, and not misleading. You further warrant that you have the necessary authority to submit such information on behalf of the relevant company or organization and to use the services for legitimate business purposes.
Company identity and authorization
You must not impersonate another company or individual, create a company profile without authorization, submit another party's registration number or website as your own, or use public, disposable, or misleading contact information to misrepresent your business identity. ChemAbout may request additional proof, restrict functionality, decline verification, or refuse service if company identity or authorization cannot be reasonably established.
Responsibility for submitted information
Suppliers are solely responsible for the truthfulness and legality of product names, CAS numbers, mixture components, specifications, certifications, compliance statements, availability, and supply capability. Buyers are solely responsible for the truthfulness of purchase intent, product requirements, destination, volume indications, and contact information. Users must promptly correct or withdraw information that becomes inaccurate, obsolete, unauthorized, unlawful, or misleading.
Restricted, unlawful, and high-risk use
You may not use ChemAbout to publish, request, supply, match, facilitate, or disguise any activity involving illegal products, sanctions violations, export-control violations, prohibited or restricted chemicals, fraud, money laundering, evasion of regulatory requirements, unsafe handling, or any other activity that violates applicable laws or third-party rights. You are responsible for confirming the legal and regulatory status of each product, transaction, shipment, destination, counterparty, and intended use.
Export Controls and Sanctions
You are solely responsible for compliance with all applicable export-control, trade-sanctions, and chemical-regulatory laws, including but not limited to the Chemical Weapons Convention (CWC) and its implementing legislation, the OPCW schedules of controlled chemicals, EU Regulation 2021/821 on dual-use items, the U.S. Export Administration Regulations (EAR) and the sanctions programs administered by OFAC, the UK Strategic Export Control Lists, and equivalent regimes in the jurisdictions of the supplier, buyer, transit, and final destination. You may not use ChemAbout to publish, request, supply, match, or facilitate any transaction that involves a sanctioned party, embargoed or prohibited destination, restricted end-use or end-user, or that is designed to evade licensing, screening, or reporting requirements. ChemAbout may screen accounts, content, and counterparties against publicly available sanctions and watch lists, restrict or remove access where it reasonably believes necessary, and cooperate with lawful requests from competent authorities.
User Conduct
You agree not to use this platform for the following purposes:
- Activities that violate any laws or regulations
- Posting false or misleading product information or requests
- Infringing on the intellectual property or other rights of others
- Interfering with or disrupting the normal operation of the platform
- Spreading viruses or other harmful code
- Money laundering, terrorist financing, sanctions evasion, trade-based financial crime, or any transaction designed to disguise the source, ownership, or destination of funds or goods
Verification and risk controls
ChemAbout may use automated checks, manual sampling, user reports, third-party signals, website verification, registration submissions, activity logs, and other risk-control measures to protect the platform. Verification labels, if displayed, are limited status indicators and do not constitute an endorsement, guarantee, certification, or legal opinion by ChemAbout. We may remove content, limit visibility, suspend matching, restrict contact features, freeze or terminate accounts, preserve relevant records, refuse service, or cooperate with lawful requests if we reasonably believe information is false, misleading, unauthorized, unlawful, risky, or in breach of these Terms.
Due Diligence and Verification Obligations
Prior to entering into any transaction with another user, you are solely responsible for conducting thorough due diligence. This includes but is not limited to: verifying the identity, legal status, and business credentials of the counterparty; confirming the accuracy of product information, specifications, certifications, and regulatory compliance; conducting appropriate background checks and business verification (KYB); reviewing all relevant legal and regulatory requirements applicable to the transaction; and ensuring adequate communication with the counterparty to clarify all terms before committing to any transaction. ChemAbout provides no assurance regarding the reliability, creditworthiness, or legitimacy of any user or information on the platform. You acknowledge that reliance on platform information without independent verification is entirely at your own risk.
Intellectual Property
All content on this platform, including text, graphics, logos, and software, is protected by intellectual property laws. You may not copy, modify, distribute, or otherwise use this content without authorization. You retain intellectual property rights to content you publish, but grant ChemAbout a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, distribute, and translate such content solely for the purpose of operating, providing, and promoting the services. If you believe that content on the platform infringes your intellectual property or other rights, please notify us at [email protected] with sufficient detail to identify the content and the rights asserted; we will review such notices and take action we deem appropriate within a reasonable time.
Disclaimer
ChemAbout is an information matching platform only and assumes no responsibility or liability for any transaction, agreement, or commercial activity conducted between users. We do not verify, endorse, or guarantee the accuracy, completeness, legality, or reliability of any information posted by users, including but not limited to product descriptions, specifications, pricing, certifications, or company credentials. Users are strongly advised to independently verify all information and counterparties before entering into any transaction. Risks, losses, disputes, or liabilities arising from commercial activities conducted through or initiated on this platform are entirely the responsibility of the parties involved. ChemAbout's role is strictly limited to facilitating information discovery and does not extend to any transactional, advisory, or guarantee function.
False and Misleading Information
ChemAbout takes the integrity of information on the platform seriously. We reserve the right, at our sole discretion, to investigate, remove, restrict, or take any other action regarding information that we believe to be false, misleading, inaccurate, or in violation of these Terms. We may suspend or permanently terminate the accounts of users who post false or fraudulent information. Users who suffer loss as a result of false information posted by other users may seek recourse directly against the responsible party. ChemAbout shall not be liable for any loss arising from false information posted by users but will cooperate with legitimate legal proceedings to the extent required by applicable law.
Limitation of Liability
To the maximum extent permitted by law, ChemAbout shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data loss, or business interruption.
Indemnification
You agree to indemnify, defend, and hold harmless ChemAbout and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these Terms, or your infringement of any rights of a third party.
Force Majeure
ChemAbout shall not be liable for any delay, interruption, or failure to perform under these Terms caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, epidemics, war, civil unrest, terrorism, government action, changes in law or regulation, sanctions, embargoes, labor disputes, network or infrastructure outages, cyberattacks, or failures of third-party service providers.
Termination of Service
We may suspend or terminate your account immediately and without prior notice if you breach these Terms, post false or fraudulent information, are or become subject to applicable sanctions or export-control restrictions, or engage in activity that we reasonably believe poses legal, safety, or reputational risk to the platform, other users, or third parties. For terminations not based on breach or risk, we will provide reasonable advance notice where practicable. Upon termination, your right to use the services will immediately cease, but provisions that by their nature should survive — including intellectual property, disclaimer, limitation of liability, indemnification, dispute resolution, and governing law — will remain in effect. You may cancel your account at any time; the retention and deletion of your data following termination are governed by our Privacy Policy and applicable law.
Modifications to Terms
We reserve the right to modify these Terms of Service at any time. Modified terms will be published on this page and the "Last Updated" date will be revised accordingly. For material changes that adversely affect your rights or obligations, we will provide reasonable advance notice through in-product notification or email before the changes take effect. Your continued use of the services after the effective date constitutes acceptance of the modified terms; if you do not agree to the modified terms, you should stop using the services.
Governing Law and Dispute Resolution
Until ChemAbout formally announces its operating entity, any disputes between the platform and users shall first be addressed through good-faith negotiation. Once the operating entity is announced, the governing law and dispute resolution mechanism notified at that time shall apply.
Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
General Provisions
These Terms, together with the Privacy Policy and any additional terms expressly incorporated by reference, constitute the entire agreement between you and ChemAbout regarding the services and supersede all prior or contemporaneous communications, proposals, and understandings on the subject. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, and any attempted assignment in violation of this provision is void; ChemAbout may assign these Terms, in whole or in part, in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets. Our failure or delay in enforcing any provision of these Terms shall not constitute a waiver of that or any other provision. If we provide a translated version of these Terms, the English version shall prevail in the event of any inconsistency. Section headings are for convenience only and have no legal effect.
